By creating an account, accessing, or using the Service provided by Invoicent, you agree to be bound by these Terms and Conditions. If you do not agree to all of the terms herein, you may not access or use the Service. These Terms apply to all users of the Service, regardless of location.
2.1 Invoice Generation: Our Service enables Users to create invoices for merchant customers.
2.2 Status Tracking: The Service tracks the status of each invoice (e.g., sent, paid, overdue).
2.3 Additional Features: We may introduce additional features or tools which are also subject to these Terms.
3.1 Legal Age: You must be of legal age (18+ in most EU countries) to form a binding contract to use the Service.
3.2 Compliance: You agree to use the Service only in compliance with all applicable laws and regulations, including EU laws.
4.1 Registration: You must create an account by providing accurate and up-to-date information.
4.2 Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
4.3 Unauthorized Use: You agree to notify us immediately of any unauthorized access to your account.
5.1 Stripe Integration: We use Stripe as our third-party payment processor. By making or receiving payments through Stripe, you agree to comply with Stripe’s Terms of Service and all applicable policies.
6.1 Ownership: All content, trademarks, and other intellectual property within the Service are owned by Invoicent or its licensors.
6.2 License: We grant you a limited, non-exclusive, and non-transferable license to use the Service solely for your business or personal purposes.
7.1 GDPR Compliance: We adhere to the General Data Protection Regulation (EU) 2016/679 (GDPR) and other relevant data protection laws. Any personal data you provide will be handled according to our Privacy Policy and applicable laws.
7.2 Data Controller and Processor: In respect of personal data of your customers, you may act as the Data Controller, while we act as a Data Processor under GDPR.
7.3 Security Measures: We implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk.
7.4 Stripe’s Data Processing: By using Stripe for payments, you acknowledge that Stripe independently processes certain personal data; please refer to Stripe’s privacy policy for details.
8.1 Misuse of Service: You agree not to misuse the Service by engaging in fraudulent, illegal, or harmful activities.
8.2 Security Violations: You shall not breach or attempt to breach the security of our network or use the Service to distribute any harmful code or conduct illegal activities.
9.1 No Liability for Errors: We are not liable for any inaccuracies or errors in the invoices generated.
9.2 Service Downtime: While we strive to ensure maximum uptime, we will not be liable for any interruptions, delays, or losses caused by system outages.
9.3 Indirect Damages: To the maximum extent permitted by EU law, we disclaim any liability for indirect, consequential, or special damages arising out of your use of the Service.
The Service is provided on an “as-is” and “as-available” basis. To the extent permitted by law, we disclaim all warranties of any kind, whether express or implied, including any implied warranties of merchantability or fitness for a particular purpose.
You agree to defend, indemnify, and hold harmless Invoicent, its affiliates, and their respective officers, directors, and employees from all liabilities, damages, and expenses arising out of your use of the Service or breach of these Terms, to the extent permitted by EU law.
12.1 Termination by You: You may terminate your account at any time by ceasing use of the Service.
12.2 Termination by Us: We reserve the right to terminate or suspend your account for violations of these Terms or at our discretion.
12.3 Effect of Termination: Upon termination, your right to access the Service immediately ceases, and any obligations or liabilities incurred prior to termination remain.
We reserve the right to modify or update these Terms at any time, in compliance with applicable legal requirements. Continued use of the Service after such changes become effective constitutes acceptance of the revised Terms.
14.1 Governing Law: These Terms and any disputes arising hereunder are governed by the laws of Poland and applicable EU regulations.
14.2 Jurisdiction: Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Poland, unless otherwise required by EU consumer protection laws.
